Item 2.01 Completion of Acquisition or Disposition of Assets.

On December 11, 2017, Ichor Holdings, LLC, a Delaware limited liability company and an indirect, wholly-owned subsidiary of Ichor Holdings, Ltd. (“Ichor”) completed the purchase of all of the issued and outstanding stock (the “Acquisition”) of Talon Innovations Corporation, a Minnesota corporation (“Talon”), pursuant to the terms of the previously announced Stock Purchase Agreement (the “Agreement”), by and among Ichor, Talon, Talon Innovations Holdings LLC, a Delaware limited liability company, and the guarantors party thereto. The consideration paid by Ichor at the closing of the Acquisition consisted of $130 million in cash, subject to customary adjustments for net working capital, indebtedness, cash and transaction expenses. A portion of the consideration paid by Ichor has been deposited into escrow to support post-closing adjustments and indemnification obligations.

The foregoing description of the Agreement does not purport to be complete and is qualified in its entirety by reference to the Agreement, which will be filed with Ichor’s Annual Report on Form 10-K for fiscal year 2017.

On December 11, 2017, Ichor issued a press release announcing the closing of the Acquisition. A copy of the press release is attached hereto as Exhibit 99.1.

(NASDAQ: ICHR), a leader in the design, engineering and manufacturing of critical fluid delivery subsystems for semiconductor capital equipment, today announced that its wholly-owned subsidiary, Ichor Holdings, LLC, has closed the previously announced acquisition of Talon Innovations Corporation (Talon), a leader in the design and manufacturing of high precision machined parts used in leading edge semiconductor tools.

As previously announced, the acquisition is projected to be accretive to Ichor’s gross profit, gross margin and non-GAAP adjusted diluted earnings per share in 2018.
